These Terms of Service govern your access to and use of the website ariahelpdesk.com and all services provided by AriaHelpDesk. By using our website or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to these Terms of Service.

1. Who We Are

AriaHelpDesk (“we”, “our”, “the Service”) is owned and operated by Arian Azmoudeh, an individual sole proprietor operating under the brand AriaHelpDesk. We provide digital services including custom web design, application development, AI solutions, video production, digital marketing, prototyping, ecommerce services, and ongoing support.

2. Acceptance of Terms

By accessing our website, requesting services, or entering into a written service agreement, you confirm that you accept these Terms of Service. If you do not agree with these terms, you must not use our website or engage our services.

3. Services Provided

AriaHelpDesk offers digital services including but not limited to website design, mobile application development, AI systems, digital marketing, graphic and video production, e commerce development, prototyping, and hourly technical support. All services are described in the specific proposal, quotation, or contract provided to the client.

Service details, deliverables, timelines, and pricing are defined on a project by project basis within the written service agreement or estimate.

4. Client Responsibilities

Clients agree to provide all necessary information, materials, files, content, credentials, and timely feedback required for the successful completion of the project.

Clients confirm that all materials they provide are legally owned or licensed and do not infringe on the rights of any third party.

Clients are responsible for reviewing all deliverables upon receipt and must report any issues within thirty days, as indicated in the project agreement.

5. Payments and Billing

Payment terms, including the total cost, deposit requirements, milestone payments, and payment deadlines, are outlined in the written proposal or service agreement.

Invoices must be paid on time. If payment is delayed, AriaHelpDesk reserves the right to pause or discontinue work until outstanding amounts are settled.

Payments are due in full without any deductions. Any applicable taxes or processing fees are the responsibility of the client.

6. Intellectual Property

Unless otherwise stated in writing, AriaHelpDesk retains full ownership of all intellectual property rights in draft work, concepts, frameworks, source files, and development assets created during the project.

Upon full payment, the client receives a license to use the final deliverables for their intended purpose. This license is non exclusive, non transferable, and applies only to the specific project agreed upon.

AriaHelpDesk may use completed work, including screenshots and visual assets, in portfolios or marketing materials unless the client requests confidentiality in writing.

7. Revisions and Additional Work

Revisions are provided as outlined in the project agreement. Requests for additional changes or new features that fall outside the agreed scope will require a separate quotation and approval before work begins.

Any modification to the original project scope must be confirmed in writing by both parties.

8. Service Limitations

AriaHelpDesk will deliver services with reasonable skill and care. However, we do not guarantee that digital products will be entirely free of errors or that the services will meet every possible expectation not explicitly agreed upon in writing.

AriaHelpDesk is not responsible for issues caused by third party software, hosting providers, external integrations, or client modifications after delivery.

9. Refunds, Cancellations, and Disputes

Refunds are handled in accordance with our Refund and Returns Policy.

Because our services are custom made and digital, we do not offer refunds once work has begun or once any deliverables have been provided.

Any cancellation, refund request, or dispute must be submitted in writing within thirty days of delivery or acceptance.

AriaHelpDesk may offer a partial refund or service credit only at its discretion, following a case by case evaluation.

10. Termination of Agreement

Either party may terminate the agreement if the other party commits a material breach and fails to resolve it within a reasonable timeframe after receiving written notice.

Upon termination, the client must pay for all completed work and any work currently in progress, calculated according to the pricing method in the contract.

AriaHelpDesk may also terminate services if a client becomes unresponsive, engages in inappropriate conduct, or fails to meet payment obligations.

11. Data Protection and Privacy

All personal data is processed in accordance with our Privacy Policy.

By engaging our services, you consent to the use of your information for communication, project management, support, billing, and legal compliance.

12. Liability

AriaHelpDesk is not liable for indirect, incidental, or consequential damages, including loss of revenue or data.

Our total liability for any claim is limited to the amount paid by the client for the specific service that gave rise to the claim.

These limitations apply to the fullest extent permitted by law.

13. External Links and Third Party Services

Our website may include links to third party platforms or services. We are not responsible for the content, practices, or security of external sites.

Any use of third party services is subject to their respective terms and conditions.
